I feel like Matsson is the personification of Logan’s statement that the kids are not serious people. By every business metric, the deal makes way too much sense to turn down. However, not only does Kendall want to keep ATN, he wants to tank the entire deal just to ascend to the rank of king. He couldn’t get the approval of his father in life so he will posthumously take it in death. Kendall had one foot out prior to 4x04, but once he saw that his father wrote his name down as successor at one point in time, he was immediately pulled back in. To Ken being the CEO of Waystar Royco is his life’s work. He can’t just build a new company. He needs the validation of ascending to CEO and fulfilling his birthright. To finally feel like his father is proud of him. He will take it by any means necessary if it means he will finally win the war for succession. Even if it means tanking a good deal.

Ken and Roman realized they didn’t like Mattson (who’s admittedly an asshole) and wanted to keep the company for themselves. For them it’s an emotional issue to keep their family legacy under the Roy name. But Mattson is forcing so much money down their throats that the pressure from the board and shareholders will be to sell. If Ken and Roman go against the deal, they’ll disgrace themselves in front of their shareholders and damage their reputations permanently. But if they do sell then they have to swallow their words and pride in front of Mattson. It’s just like Chris said, Mattson is doing to them what Ken was doing to Lawrence/Vaulter in Season 1.

Also the sale did NOT go through. The kill list at the end of the episode is just the list of employees that would be let go if the deal DID go through.

There is a legal issue if Ken and Roman are found to be a acting against the best interests of the company they can be voted out just like Ken tried to do with Logan, if the board and shareholders get a whiff of a hint that they are acting against the best interests of the company they are out. Remember what a big deal the shareholders meetings are.

Yeah Matsson is guy used to treating his business like a game and is excited to play with a shiny new toy. He loves playfully peacocking in front of those he deems inferior so he can be the biggest person in the room. His irreverent, devil-may care attitude is his hallmark and that infuriates the Roy boys. Especially with their complicated feelings around their father thrown into the mix.
